1. Acceptance of Terms

By registering for an account, accessing, browsing, or utilizing any portion of the EvexAI platform, websites (including evexai.ink and its subdomains), or associated services, you agree to be bound by these Terms of Service, our Privacy Policy, and any additional operating rules or policies published by EvexAI.

If you are entering into these Terms on behalf of a company, enterprise, or other legal entity, you represent and warrant that you have full legal authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with any part of these Terms, you must not accept these Terms and may not use our services.

2. Description of Services & Platform

EvexAI provides an AI-augmented recruitment, talent discovery, and capability verification platform designed to streamline and elevate hiring decisions. Key services include:

• Verified Talent Search: Live discovery and sourcing of professionals across technical and business domains, retrieving publicly verifiable profiles, email coordinates, and portfolio repositories.
• Proof-of-Capability & Work Trials: Structured technical tests, code challenges, work sample assessments, and sandboxed problem-solving environments.
• Automated Pipeline Orchestration: Candidate stage workflows (Applied, Shortlisted, Interviewing, Offered, Hired, Rejected) with real-time transactional candidate notifications.
• Interview Intelligence & Scheduling: AI-assisted video interview preparation, transcript evaluation, behavioral analytics, and integrated Google Meet scheduling.

3. User Accounts, Teams & Security

To access recruiting capabilities, you must establish an account. You are responsible for maintaining the confidentiality of your login credentials, API tokens, and two-factor authentication factors.

You must notify EvexAI immediately at support@evexai.ink if you suspect unauthorized access or security breaches concerning your account.

4. Subscriptions, Billing & Credits

EvexAI provides subscription tiers (including Starter, Growth, and Enterprise plans) billed in advance on a recurring monthly or annual basis.

• No Free Trials: EvexAI operates exclusively on paid standard subscriptions. Access to platform features, candidate sourcing, and analysis capabilities requires an active paid subscription.
• Payment Processing: All payments, billing details, and recurring charges are processed securely via Stripe. By subscribing, you authorize automatic recurring charges to your payment method until cancellation.
• Credits & Allocations: Subscriptions include monthly allocations of team credits, deep analysis credits, and candidate search quotas. Unused credits do not roll over to subsequent billing cycles unless expressly stated in an Enterprise Agreement.
• Cancellation & Refunds: You may cancel your subscription at any time via your organization dashboard. Cancellations take effect at the conclusion of the current prepaid billing period. Payments are non-refundable.

5. Fair Hiring & Legal Compliance

Recruiting organizations must comply with all applicable local, national, and international labor, employment, equal opportunity, and anti-discrimination laws (including but not limited to Title VII of the Civil Rights Act, EEOC regulations, the Americans with Disabilities Act, GDPR, and the EU Artificial Intelligence Act).

6. AI Intelligence & Evaluative Insights

EvexAI employs machine learning algorithms, deep code analysis, and large language models to assist recruiters in evaluating applicant qualifications and work trials.

Decision-Support Disclaimer: All AI-generated ratings, fit scores, interview vibe assessments, transcript summaries, and skill badges are provided as evaluative decision-support intelligence. EvexAI does not make final employment, hiring, promotion, or termination decisions. The recruiting organization remains solely responsible for all final hiring determinations.

7. Candidate Content & Work Trials

Candidates submitting resumes, portfolio links, coding test solutions, and video responses retain ownership of their proprietary pre-existing intellectual property. By submitting content through EvexAI, candidates grant EvexAI and the applicable hiring organization a limited license to process, review, and evaluate the submission solely for the purpose of the relevant recruitment process.

Candidates may request deletion or export of their profile and trial submissions at any time in accordance with our Privacy Policy.

8. Acceptable Use & Prohibited Conduct

When using EvexAI, you agree that you will NOT:

• Reverse-engineer, decompile, disassemble, or extract underlying source code or model weights from EvexAI.
• Deploy automated bots, spiders, or scrapers to bulk-extract candidate records without authorization.
• Submit malicious payloads, exploit scripts, or security bypasses into proof-of-work sandboxes or test runners.
• Send unsolicited spam, fraudulent job postings, or abusive outreach messages to candidates or users.
• Circumvent subscription plan tier limits, credit ceilings, or seat license restrictions.

9. Third-Party Integrations & Services

EvexAI integrates with third-party software providers to deliver functionality:

• Google Workspace & Meet: Calendar synchronization and meeting generation for scheduling candidate interviews.
• Stripe: Payment and billing processing.
• Brevo (Sendinblue): Automated email delivery for candidate stage updates and interview invitations.
• AI Web Sourcing & Search APIs: Publicly verifiable candidate sourcing and profile discovery.

Your use of integrated third-party services is governed by the respective terms and privacy policies of those providers.

10. Intellectual Property

All software, visual interfaces, interactive components, algorithms, scoring methodologies, trademarks, logos, and documentation comprising EvexAI are the exclusive property of EvexAI Inc. and its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the platform in accordance with your subscription tier.

11. Limitation of Liability & Warranties

EVEXAI IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVEXAI DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL EVEXAI, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS REPUTATION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.

12. Term, Suspension & Termination

These Terms remain in effect until terminated by you or EvexAI. We reserve the right to suspend or terminate your account immediately if we determine that you have violated these Terms, engaged in fraudulent activity, failed to pay subscription fees, or posed a security risk to our infrastructure or users.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law principles. Any dispute or claim arising out of these Terms shall be resolved through binding arbitration or in courts of competent jurisdiction located in Ontario, Canada.
